Legal, Privacy & Fees
1. Fee Schedule
Spend2Stake charges the following platform fees. All fees are disclosed here and applied automatically by the platform's settlement systems; amounts shown in product interfaces reflect these fees where applicable.
| Event | Consumer (Spenvestor) | Business |
|---|---|---|
| Spenvestment (stake purchase) | 2.5% equity acquisition fee, added to the stake amount at payment | 5% capital raise fee, deducted from proceeds at settlement |
| Distributions (dividends, revenue share, buybacks, exit proceeds) | 10% success fee, withheld from the payout — holders receive their share net of this fee | None |
| Consumption credit (vouchers/credit) | None | None |
Where payments are settled on-chain through Spend2Stake's settlement contracts, fee routing is executed atomically within the payment transaction. Fee-exempt arrangements, where granted, are recorded per business.
2. Privacy Notice
What we collect
- Account data: email address, password (stored as a cryptographic hash), account role, country, and stated interests.
- Business data: business name, website, category, and the listing information a business chooses to publish.
- Wallet addresses: the blockchain addresses you connect or provide for payments, payouts, and equity registration.
- Transaction data: records of spenvestments, credit, equity, distributions, and their associated public blockchain transaction identifiers.
How we use it
- To operate your account, execute and verify transactions, maintain the official ownership ledger, and provide dashboards.
- To send transactional emails (verification codes, account notices). We do not sell personal data.
- To meet legal, accounting, and compliance obligations.
What is public by design
Blockchain transactions — payments, fee routing, and equity registrations — are recorded on the public Ethereum network and are permanently visible to anyone. Wallet addresses and on-chain amounts are pseudonymous but public. Aggregate business figures (amounts distributed, platform-witnessed revenue) are displayed publicly as trust signals.
Storage and processors
Account and ledger data are processed and stored with our infrastructure providers (including Supabase for database and authentication, Netlify for website hosting, and Resend for email delivery). Data may be processed outside your country of residence.
Your rights
You may request access to, correction of, or deletion of your personal data by contacting us, subject to records we are required to retain (including the ownership ledger and audit trail). Note that data written to public blockchains cannot be deleted by anyone, including us.
3. Terms of Use
What Spend2Stake is
Spend2Stake is a non-custodial marketplace and record-keeping platform through which verified businesses offer equity participation to their customers ("Spenvestors"), and a transfer-agent-style ledger that maintains the official record of who owns what. Payments move directly between users' wallets and businesses (or through settlement smart contracts that route funds within a single transaction); Spend2Stake does not hold user funds.
What we guarantee — and what we don't
- Execution integrity: declared stakes, fees, and distributions are computed and recorded by platform systems, settled verifiably, and maintained in an auditable ledger anchored to public blockchain transactions.
- Not guaranteed: the accuracy of business-declared figures (such as revenue or the size of a distribution), the performance of any business, or any return on any stake. Equity stakes are high-risk, illiquid interests in private businesses and may lose all value.
Consumption credit
Credit issued with a spenvestment is redeemable with the issuing business, expires 12 months from its most recent issuance, and is void if the issuing business ceases operating. Credit is not money, is not redeemable for cash from Spend2Stake, and is an obligation of the business, not the platform.
Transfers and liquidations
Stakes are not freely transferable. Transfers, sales, and liquidations are compliance-gated: they may be requested through the platform and are executed only upon approval by Spend2Stake's transfer-agent process, with every action recorded in the audit ledger and mirrored to the on-chain registry where applicable.
Verification and honesty
Businesses certify the accuracy of information they submit and that the person listing has authority to bind the business. Spend2Stake may suspend or delist businesses, pause listings, or reverse records in cases of fraud, error, or breach, with all corrections logged in the audit trail.
No advice
Nothing on Spend2Stake constitutes investment, legal, accounting, or tax advice. Spenvest only what you can afford to lose.
